Dear members,
During the year, we often receive many inquiries from you about the ways in which you might get involved with the CDS community. One of those key opportunities is to apply for a position to become a member of the CDS Board of Directors.
CDS’ Board plays a crucial role in overseeing the corporation’s fiduciary, financial, and risk management performance. Made up of active members, parents of active minor members, and CDS volunteers, Board members meet regularly and collaborate closely with CDS’s General Manager to ensure that the center fulfills its mission, adheres to CDS values, and implements its current strategic plan. With several important projects coming up this year in terms of both building infrastructure and internal operations, it’s an exciting time to be joining the CDS Board of Directors. Please take a minute to consider applying for a position on the CDS Board of Directors.
We are currently in the process of accepting applications for members of the Board of Directors. If you are interested in being considered for an election to the Board, you are invited to submit your candidacy via e-mail to the attention of Mr. François Girard, Secretary of the Corporation at the following address ca.centredusablon@gmail.com no later than Monday, April 14, 2025 at 5:00 pm. Any nomination forms received after this date will be void.
This year, we have four (4) seats to fill through the renewal of existing members and/or new candidates. While we welcome candidates from all backgrounds to apply, this year, the Board is seeking candidates with expertise in the following areas:
- Governance
- Strategic planning
- Human resources
- Accounting / Finances
Previous Board experience, particularly in a non-profit setting, is an important asset.
All applications should include the following:
– Full name of the candidate
– A short biography of the candidate outlining:
- An introduction of the candidate
- Their motivation for wanting to join the Board
- The experience / qualifications they bring to the Board
- Governance training/certification, if applicable

The process:
Following the completion and reception of the nomination form by April 14, 5 pm, all the eligible candidates must be present to the April 24th 2025 Annual General Meeting, at 7 pm.

* Please note that following the reception of all the applications after deadline, all candidates will be contacted to arrange a video-conference interview with a current Board member during the week of April 14th. The goal of these interviews is to get to know each candidate and learn more about their background and relevant experience.
ELECTION
Directors from the User Member and Volunteer Member categories shall be elected by a simple majority of the votes cast at the annual general meeting of the members of the Corporation. In the absence of nominations from the various members, the Board of Directors may fill any vacancy thus created at any of its meetings following the Annual General Meeting, in the same way as it does to fill a vacancy.
Each member in good standing* shall have 1 voting right per active membership currently enrolled in an activity at CDS. Each voting right entitles a member to vote for 4 candidates to the Board of Directors.
* Active membership in good standing: annual membership fee (19.50$) must be paid by April 24th, 2025, and enrollment in an activity in current session, or year of the membership.
Immediately following the AGM elections, the ballots will be counted, and the successful candidates will be announced during the April 24th AGM.
The commitment:
- Each elected member of the Board of Directors will fulfill a 2-year term, and is expected to attend at least 75% of Board meetings throughout the year.
- There are generally 8-10 Board meetings held per year, which are generally held on the third Thursday of each month in: May, June, September, October, November, December, January, February, March, and April. Meetings usually begin at 6:00pm. Special meetings can be added to discuss specific decisions or projects.
- Unless there is an emergency, a break is scheduled for the summer vacations in July and August. The candidate must be available to participate in Board meetings according to this schedule.
- A director may not remain on the Board of Directors if he fails to attend three (3) consecutive meetings.
- Board members are considered the ambassadors of the vision, culture and values of the corporation and center. As such, they are relied upon to set the example for the member body in support of CDS’ mission and goals.
As volunteers for the Centre du Sablon corporation, Board members must accept an obligation to act in the best interest of the organization and to adhere carefully to its policies, goals, and principles.
Officers sitting on the Board of Directors
The affairs of the Corporation are administered by a Board of Directors consisting of seven (7) directors. Five (5) directors are elected by voting members at the Annual General Meeting (seats 1 to 5), one (1) independent director is appointed by Ville de Laval (seat 6) and the last director is co-opted by the Board of Directors (seat 7).
At all times, the following rules must be respected in the composition of the Board of Directors:
- a) There must be a minimum of one (1) man and one (1) woman on the Board of Directors.
- b) At least four (4) directors must reside in Ville de Laval.
- c) The outgoing President is not an ex-officio member of the next Board of Directors.

Eligibility requirements
Members eligible to serve on the Board of Directors, according to the General By-Laws of the Corporation:
USER MEMBERS
- Be 18 years of age or older;
- Have paid his or her registration to participate in an activity offered by the Corporation and/or have paid the registration of a child under the age of 18 years who participates in an activity of the Corporation;
- Have paid the annual membership fee ($19.50) set by the Corporation;
VOLUNTEER MEMBERS
- Be 18 years of age or older;
- Be committed to the Corporation by contributing voluntarily and without consideration a minimum of thirty (30) hours of work during the previous fiscal year;
- Have paid the annual membership fee ($19.50) set by the Corporation;
However, the following are not eligible to be administrators:
- Minors, adults under guardianship or curatorship, bankrupts and persons prohibited by the court from exercising this function.
- Owners or employees of private companies or employees of organizations bound to the Corporation by a goods or services agreement.
- Persons with a criminal record in the following areas: sexual offences, acts contrary to public decency, misconduct, offences against the person and reputation, fraudulent transactions.
- Employees of the Corporation.
- Persons whose employment with the Corporation ended less than three (3) years ago.
- Directors completing their tenth (10th) successive term of office.
- A director who has not filed his or her annual declaration of interests within the time prescribed in these by-laws.
